Start with the Delaware entity that needs the number

You may be forming a new Delaware company or trying to find the federal number for one that already exists. Those are different jobs. Locate the entity record before starting another application.

The Division of Corporations lists LLCs among the entities that file with it, while sole proprietorships do not file there.Delaware Confirm the business structure and use its accepted filing evidence.

Keep the legal name, formation date and entity documents together. Add a short ownership note naming the members or owner. If a foreign company owns the U.S. applicant, show both entities rather than listing the contact person as the personal owner.

For an existing business, ask the original preparer for the EIN assignment notice and submitted application. A state entity record and an IRS notice belong to different agencies. Losing one document should not trigger a duplicate EIN request.

The details

An agent address has a specific state purpose

Delaware’s formation guide requires a registered agent with a physical street address in Delaware.Delaware Ask your agent how official notices reach you and how changes to the contact person are handled.

Write down the mailing address and actual business location separately. If the business is run abroad, tell the EIN preparer that fact. Do not assume using the registered-agent address makes you eligible for the IRS online tool.

The same state guide says reserving a name is optional rather than a requirement to form the entity.Delaware Keep any reservation confirmation with the file, but do not treat it as evidence that formation is complete.

Check the accepted company record after filing. Keep provider receipts too, but distinguish a paid order from an accepted entity filing. Use the actual record when preparing the federal application.

The details

Formation does not answer the business-license question

The Delaware Division of Revenue describes business licensing separately and directs uncertain businesses to its nexus questionnaire for guidance.Delaware Revenue Review your actual activities and presence instead of assuming the incorporation address answers every licensing question.

Keep state-license records apart from the IRS notice. Renewals, updates and tax filing can involve different processes even when they concern the same business. Assign the follow-up work rather than assuming an EIN request covers it.

The details

A Delaware LLC has a state payment calendar

The current Division of Corporations instructions distinguish LLCs, limited partnerships and general partnerships from the annual-report process. These entities pay the annual state tax but do not file an annual report with that division.Delaware

The published annual tax is four hundred U.S. dollars, payable by June 1 for the prior year. This is a Delaware state charge, separate from Nolly.com's EIN or company service price. Check the official payment instructions for the applicable year.Delaware

The state does not prorate this alternative-entity tax. Its instructions assess the tax when the entity was active in state records at any time during the calendar year. A late-year formation is therefore not a reason to ignore the payment review.Delaware

Keep the entity's state status and tax payment record with the company file. Delaware also warns about deceptive annual-report and tax solicitations; confirm an unexpected request through the state or your registered agent before treating it as an official bill.Delaware

The details

Prepare the federal request for a foreign owner

The IRS online application has business-location and responsible-party tax-ID requirements.IRS If your facts do not fit it, use the applicable international route instead of changing an address to make the screen proceed.

Form SS-4 provides instructions for an eligible foreign responsible party without an SSN or ITIN.IRS A personal ITIN is not automatically the first purchase before requesting the company EIN.

Confirm the applicant’s tax classification with your reviewer. For a foreign-owned U.S. disregarded entity with reportable related-party transactions, assess Form 5472 with a pro forma Form 1120.IRS Keep owner funding and withdrawals distinct from customer receipts.

Questions

Your questions answered

Keep the state license and IRS EIN request separate. The federal number comes from the IRS.

Delaware’s formation guide says name reservation is optional.Delaware

No. Tell the preparer where the company actually operates and use each address for its stated purpose.

Do not assume that. Ask for the local obligations and U.S. filings to be reviewed separately.
